Welcome to vOfiz. These Terms explain the rules for using our websites and online resources and how additional terms apply to our products and services.

1 About these terms

These General Terms of Service (Terms) govern access to and use of vofiz.com, participating vOfiz subdomains, and the online resources and features that link to these Terms (collectively, the Platform). The Platform is operated by vOfiz Inc., a Texas corporation (vOfiz, we, us, or our). You and your refer to each visitor or user and, where applicable, the organization that person is authorized to represent.

Please read these Terms before using the Platform. Where we request acceptance, you agree by selecting the acceptance option or completing the identified acceptance process. For general browsing, these Terms apply to the extent permitted by law and supported by legally sufficient notice and assent. If you do not agree, discontinue use of the Platform. Accessing the Platform does not by itself purchase a service or establish a professional engagement.

2 Product and service terms

vOfiz offers bookkeeping, tax, payroll, compliance, business administration, and other products and services. Additional Product and Service Terms, subscription conditions, or engagement agreements may apply to particular offerings. We will identify applicable additional terms and make them available before acceptance or purchase.

These Terms provide the general framework for Platform use. The applicable product terms and any separately accepted agreement govern the scope, fees, deliverables, deadlines, responsibilities, renewals, cancellations, and other conditions of a purchased offering. Those specific terms control a conflict concerning that offering. These Terms do not amend an existing client agreement solely because they are published online.

Documents in the Legal Center apply according to their stated scope. Publishing or linking a document does not automatically incorporate every Legal Center document into every relationship. Our Privacy Notice describes our information practices and does not replace a separately required consent.

3 Eligibility and authority

You must have the legal capacity to enter into an agreement to create an account, purchase a service, or accept terms through the Platform. If you act on behalf of an organization, you represent that you have authority for the action you take. You may not impersonate another person, misrepresent your authority, or use another person's account without permission.

You are responsible for ensuring that your use of the Platform complies with laws applicable to you. We may limit availability of particular offerings by location, eligibility, or other disclosed requirements.

4 Website information and professional advice

The Platform may include articles, guides, templates, calculators, videos, frequently asked questions, and other educational resources. These materials provide general information and may not reflect every fact, jurisdiction, or subsequent change relevant to your situation. Calculator results and examples are illustrative and depend on the information and assumptions used.

General content does not constitute individualized tax, accounting, legal, investment, or other professional advice. Obtain advice appropriate to your circumstances before acting on it. vOfiz provides professional services only under a separately established engagement and within its agreed scope.

Browsing the Platform, scheduling a consultation, submitting an inquiry, or uploading a document does not by itself create a client relationship, authorize a filing or payment, or require us to monitor a deadline. Do not assume that a matter has been accepted until we confirm it. No tax result, refund, regulatory approval, or business outcome is guaranteed.

5 Accounts and security

Some features require an account or an invitation. Provide accurate account information, keep it current, and protect your credentials. Use available security controls and notify us promptly through your established support channel if you suspect unauthorized access.

Organizations are responsible for managing their authorized users and telling us when permissions should change. We may request identity or authority verification before granting access, changing sensitive information, or acting on instructions. You remain responsible for activity you authorize; these Terms do not make you responsible for unauthorized activity caused by our breach of applicable duties.

6 Acceptable use

Use the Platform only for lawful purposes and within the access rights provided to you. You must not submit fraudulent or unlawful information; infringe intellectual property, privacy, or other rights; distribute malware; bypass security controls; access another user's information without authority; impersonate others; or disrupt the Platform.

You must not use automated tools to extract nonpublic information, circumvent access restrictions, or materially burden the Platform. You must not reproduce or resell protected content beyond the permissions granted in these Terms or by law. You must not use the Platform to request falsified records, improper concealment, or unlawful transactions.

Additional acceptable-use conditions may apply to particular products if presented and accepted as required. We may investigate suspected misuse and take proportionate measures to protect users, information, and systems.

7 Information and materials you submit

You retain ownership of documents, records, and other materials you submit. You grant vOfiz the limited rights needed to receive, store, transmit, and process those materials to respond to your request, operate the feature you use, provide an agreed service, or comply with applicable law. This permission does not authorize unrelated marketing or unrestricted reuse of confidential information.

You must have lawful authority to submit information about other people or organizations. Use designated secure channels for sensitive records. Do not send tax returns, Social Security numbers, banking credentials, or other sensitive information through general inquiry forms or public features unless the feature is expressly designated for that purpose.

Submitting information through a general inquiry channel does not create an attorney-client relationship or legal privilege. We will handle information subject to applicable privacy, confidentiality, security, and professional requirements.

8 Privacy confidentiality and tax information

Our Privacy Notice explains how we collect, use, share, retain, and protect personal information and how applicable privacy requests may be submitted. Cookie information and choices will be provided where applicable. We maintain reasonable safeguards appropriate to the information we handle and comply with applicable security and breach-notification duties. No online system can be guaranteed completely secure.

Information received in a professional engagement is also subject to the applicable confidentiality obligations and engagement terms. We will use and disclose tax return information only as permitted by law, including Internal Revenue Code Section 7216 and its regulations where applicable.

Acceptance of these Terms is not a substitute for a separately required taxpayer consent, electronic filing authorization, payment mandate, or power of attorney. Where required, we will obtain an appropriate consent before a restricted use or disclosure, including certain disclosures outside the United States. These Terms do not authorize use of confidential client information to train general-purpose artificial intelligence models.

9 Intellectual property and permitted use

The Platform and its original content, branding, designs, software, and resources are owned by vOfiz or its licensors and protected by applicable intellectual property laws. Subject to these Terms, you may access the Platform and use public resources for their intended personal or internal business purposes.

You may download materials expressly made available for download and use templates as their accompanying instructions permit. Keep copyright and ownership notices intact. You may not commercially redistribute our materials, present them as your own, or use vOfiz trademarks in a manner that implies sponsorship or affiliation without written permission. Rights granted by applicable law remain available.

Client records, professional deliverables, licensed software, and third-party materials may be governed by separate ownership and license provisions. These website permissions do not change those provisions.

10 Third party websites and platforms

The Platform may link to or integrate with third-party websites, scheduling tools, payment processors, software, or client portals. Those providers may have separate terms, fees, security practices, and privacy notices. Review them before using the relevant service.

A link does not by itself imply endorsement, and we do not control independent third-party content or availability. Our responsibility for our own services, configurations, instructions, and legally required safeguards remains subject to applicable agreements and law.

11 Purchases subscriptions and payments

If a product or service can be purchased through the Platform, the applicable purchase process will disclose its price, billing frequency, material conditions, and any cancellation or renewal arrangement before acceptance. General descriptions and displayed estimates are informational unless expressly identified as a binding offer.

Recurring charges require appropriate disclosure and authorization. Automatic renewal applies only where clearly disclosed and affirmatively agreed. Payment authorizations, including bank debit mandates, may require separate acceptance. Applicable product terms and accepted purchase conditions govern refunds, cancellation timing, and any minimum commitment, subject to mandatory legal rights.

These Terms alone do not authorize vOfiz to charge an account, establish a subscription, prepare or file a return, process payroll, or make a payment on your behalf.

12 Availability changes and restricted access

We may maintain, update, modify, or discontinue public Platform features. We do not promise uninterrupted availability. Changes affecting purchased services remain subject to the applicable service commitments, notice requirements, and agreements.

We may restrict access where reasonably necessary to address a material violation of these Terms, suspected fraud, unauthorized access, security threats, or legal requirements. When reasonably practicable and legally permitted, we will provide notice and an opportunity to resolve the issue. Restrictions will not eliminate mandatory rights to receive records or any refund or other remedy due under law or an applicable agreement.

Client portals are not permanent archives. Retain your own records and copies of deliverables. Access periods, retention practices, and offboarding arrangements for purchased services are governed by the applicable terms and legal requirements.

13 Disclaimers

TO THE EXTENT PERMITTED BY LAW, PUBLIC WEBSITE CONTENT AND FREE ONLINE RESOURCES ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. WE DO NOT WARRANT THAT GENERAL CONTENT IS COMPLETE, CURRENT FOR EVERY PURPOSE, OR FREE FROM ERRORS.

These disclaimers concern general Platform use and public resources. They do not replace express warranties, professional standards, or service commitments applicable to a purchased product or professional engagement, or exclude rights that cannot lawfully be excluded.

14 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOFIZ WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE PUBLIC PLATFORM OR GENERAL EDUCATIONAL RESOURCES, INCLUDING LOSS OF PROFITS OR BUSINESS OPPORTUNITIES.

THIS EXCLUSION DOES NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, BREACH OF CONFIDENTIALITY OR DATA PROTECTION OBLIGATIONS, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED. IT DOES NOT EXCLUDE ANY NONWAIVABLE CONSUMER RIGHT.

Liability associated with purchased products or professional services is governed by the applicable accepted terms or engagement agreement. This section does not impose a fee-based liability cap on a person merely browsing our website or amend a separately agreed allocation of responsibility.

15 Governing law and disputes

Texas law governs these Terms, without regard to conflict-of-law principles, except where mandatory law requires otherwise. Before bringing a claim concerning these Terms, please contact us so we can attempt to resolve the issue. Nothing in this request delays a legal filing deadline or restricts urgent relief, eligible small-claims proceedings, or complaints to regulators.

Subject to mandatory jurisdiction and venue rules, disputes concerning these Terms will be brought in state courts located in Harris County, Texas, or federal courts serving that county. Different dispute provisions may apply to a purchased offering under separately accepted terms. These Terms do not require arbitration or waive a jury trial.

16 Updates to these terms

We may revise these Terms to reflect changes to the Platform, our practices, or applicable requirements. The current version will display its effective date in the Legal Center. Revisions apply prospectively and will not retroactively change accrued claims.

For material changes, we will provide reasonable advance notice through the Platform or another appropriate channel, and obtain affirmative acceptance where required. Continued use constitutes acceptance only where supported by legally sufficient notice and assent. If you do not agree to revised Terms, discontinue the affected Platform use. Changes to existing paid engagements remain governed by their own amendment and notice provisions.

17 General provisions

If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms do not create a partnership, employment relationship, or authority to act for vOfiz.

These Terms and any additional terms properly incorporated for a Platform feature govern that feature's use. They do not supersede a separate client engagement or grant rights to unrelated third parties. Provisions intended to continue after use ends, including intellectual property, applicable confidentiality duties, disclaimers, liability, and disputes, survive to the extent permitted by law.
