These Payroll Services Terms apply whenever vOfiz provides payroll support, and supplement — not replace — the vOfiz General Terms of Service and the Master Terms incorporated into your signed Engagement Agreement. If you have not signed an Engagement Agreement for payroll services, these Terms describe the terms under which such services would be provided.

1. Scope of Service

vOfiz will process payroll at the frequency stated in your Engagement Item, through your payroll platform. This includes payroll runs, related federal and state payroll tax filings, year-end forms (W-2s, 1099s), and, where selected, coordination of state payroll registrations.

2. Your Responsibilities

You will submit approved hours, salary changes, new-hire and termination information, and benefits elections by the cutoff vOfiz communicates for each payroll run. Late or inaccurate submissions may delay the run, and you are responsible for any resulting penalties or interest. You are responsible for worker classification decisions (employee vs. contractor), wage and hour compliance, and funding your payroll and tax accounts on time.

3. Out of Scope

vOfiz is not the employer of record for your personnel, does not provide legal advice on employment matters, and does not decide hiring, compensation, or termination.

4. General Terms Govern

Fees and payment, confidentiality, liability limitations, termination, and record retention for this service are governed by the Master Terms incorporated into your Engagement Agreement, and are not repeated here. Where any term in these Payroll Services Terms conflicts with the Master Terms on a matter specific to payroll services, these Terms control for that matter only.
