These Entity Formation Services Terms apply whenever vOfiz provides entity management and formation services, and supplement — not replace — the vOfiz General Terms of Service and the Master Terms incorporated into your signed Engagement Agreement. If you have not signed an Engagement Agreement for entity formation services, these Terms describe the terms under which such services would be provided.

1. Scope of Service

Entity formation and management services may include preparing and filing formation documents, coordinating registered agent and state compliance requirements, and related administrative support, as stated in your Engagement Item.

2. Not a Law Firm

vOfiz Inc. is not a law firm; it is a business services and consulting company. No vOfiz employee acts as your lawyer, and no information or communication from vOfiz should be construed as, or substituted for, legal advice. As part of these services, vOfiz may engage or refer you to licensed attorneys for questions concerning business formation, trademarks, or business licenses, or where you require a higher degree of assurance.

3. General Terms Govern

Fees and payment, confidentiality, liability limitations, termination, and record retention for this service are governed by the Master Terms incorporated into your Engagement Agreement, and are not repeated here. Where any term in these Entity Formation Services Terms conflicts with the Master Terms on a matter specific to entity formation services, these Terms control for that matter only.
